JOLLYTREE CHRISTMAS TREE DELIVERY — TERMS OF SERVICE

This website and all delivery and wholesale services are operated by Cedar Grove Christmas Trees, LLC, trading as JollyTree Christmas Tree Delivery (“we,” “us,” “our,” or “Cedar Grove”). We market, sell, distribute, and deliver fresh, farm-grown Christmas trees and related natural products to both individual customers and wholesale purchasers. These Terms of Service (“Terms”) govern all purchases made through our website, all deliveries performed by us, all wholesale transactions, and all related interactions.

By visiting our website or purchasing any product or service from us, you agree to be bound by these Terms, including any additional policies referenced herein or available by hyperlink.

Our online store is hosted on Shopify Inc., which provides the e-commerce platform that enables us to sell products and services to you.


1. Online Store Terms

By agreeing to these Terms, you represent that you are at least the age of majority in your jurisdiction, or that you are such an adult providing consent for a minor dependent. You may not use our products or services for any unlawful purpose or violate any applicable federal, state, or local law, including agricultural transport regulations or environmental restrictions.


2. General Conditions

We reserve the right to refuse service to anyone at any time, for any reason. You understand that certain content you submit (excluding payment information) may be transferred unencrypted and adapted to meet technical requirements. Payment information is always encrypted during transmission. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission.


3. Agricultural Notice and Florida Right to Farm Act

All natural products sold and delivered by JollyTree within Florida are considered farm-grown agricultural commodities under Florida law. Cedar Grove acts as a marketing agent and distributor for bona fide growers pursuant to the Florida Right to Farm Act. Deliveries of Christmas trees, wreaths, and related natural products are agricultural in nature and may be exempt from certain local retail or vendor restrictions.

By purchasing from us, you acknowledge the natural, seasonal, and perishable characteristics inherent in live agricultural products, including variations in size, shape, color, density, and fullness.


4. Delivery, Title, and Risk of Loss

Delivery areas and dates are published on our website and may vary. Title and risk of loss transfer to you once delivery is completed at the address you provide. If no one is present at the time of delivery, our driver may leave the tree in a reasonably safe location. After delivery is complete, Cedar Grove is not responsible for theft, weather exposure, drying, or any failure to properly care for the product.

Customers must inspect their tree immediately upon delivery and report any concerns within twenty-four (24) hours of receipt.


5. Product Condition and Replacement Policy

We make every effort to ensure freshness and quality at the time of delivery. Because our products are natural agricultural goods, no two trees are identical and minor variations should be expected. If a product is materially damaged or defective upon arrival, Cedar Grove may, at its discretion, issue a replacement or credit. Refunds are not guaranteed once delivery is completed.


6. Pricing and Availability

Prices and availability may change without notice due to harvest timing, weather, transportation, and supply conditions. We reserve the right to limit quantities or discontinue any product at any time.


7. Proper Care and Safety

Customers are responsible for maintaining their tree after delivery, including recutting the base, using an appropriate stand, and keeping the stand filled with water. 8. Limitation of Liability

All products are sold without warranty, express or implied. Cedar Grove disclaims all liability for any direct, indirect, incidental, or consequential damages arising from the sale, delivery, handling, storage, marketing, or final use of our products. By purchasing or accepting delivery, you agree to hold Cedar Grove, its officers, employees, growers, suppliers, contractors, and affiliates harmless from any claims related to the use or condition of the products.


9. Governing Law

These Terms are governed by the laws of the State of Florida, with exclusive jurisdiction in the state or federal courts of Lake County, Florida. We reserve the right, at our sole discretion, to change the venue at our convenience.  

You waive any objection to the venue and jurisdiction specified above.


10. Entire Agreement and Updates

These Terms constitute the entire agreement between you and Cedar Grove relating to your use of the Service. We may update or modify these Terms at any time by posting revised Terms on this page. Your continued use of the website or acceptance of deliveries following any modifications constitutes acceptance of the updated Terms.

12. Wholesale Orders — Additional Terms

The following provisions apply to all wholesale purchases of Christmas trees, wreaths, greenery, stands, or related agricultural products intended for resale. By placing a wholesale order, you agree to all terms contained in this Section, which incorporate the complete Cedar Grove Wholesale Terms & Conditions of Sale.

Wholesale pricing is FOB from Cedar Grove’s distribution locations, and all freight, transportation, and logistics costs are the sole responsibility of the wholesale buyer. Prices may change without notice. Wholesale orders are not confirmed until Cedar Grove receives a deposit equal to fifty percent of the invoice. The remaining balance must be paid in full by October 1 unless Cedar Grove agrees otherwise in writing. Past-due balances accrue interest at one percent per month, plus all fees and costs associated with collection.

After August 1 for wreaths, greenery, and special-order trees, and after September 1 for standard trees, all wholesale orders become final and non-refundable. Cancellations after these deadlines are not permitted. Cedar Grove may, at its discretion, assist in locating a replacement buyer, but no guarantee of resale or reassignment is made.

Wholesale buyers are responsible for arranging transportation. Cedar Grove’s obligations are fully satisfied once goods are loaded and the truck, trailer, or container departs the loading facility. Production, harvest, loading, and delivery timelines may be impacted by weather, labor shortages, equipment issues, border delays, and other conditions beyond Cedar Grove’s control. No refunds, credits, or adjustments will be issued for delays or cancellations caused by such circumstances.

Claims regarding wholesale shipments must be submitted in writing within twenty-four hours of receipt. Claims may not exceed the purchase price of the item in question. The buyer waives the right to inspect products prior to loading and agrees that the goods are deemed accurate, marketable, and in acceptable condition once they depart the facility. Claims relating to tree count require a time-stamped photograph of the intact seal upon arrival and a continuous video recording of the seal being broken and the initial unloading. No other evidence will be considered.

Cedar Grove grades products according to its own standards and is not bound by USDA grading criteria. All wholesale products are sold without warranty. Cedar Grove disclaims liability for any damages occurring after the buyer takes possession, including damages arising from transportation, handling, storage, display, marketing, or final consumer use. Buyers agree to indemnify and hold Cedar Grove harmless from any claims or liabilities arising from their resale or handling of the products.

Because wholesale transactions involve sensitive commercial information, pricing, sourcing, and logistical coordination, the buyer agrees to a perpetual and irrevocable confidentiality and non-disclosure obligation. The buyer shall not disclose, publish, or discuss any information regarding pricing, communications, quality, logistics, delays, disputes, or any other aspect of the commercial relationship with Cedar Grove. This prohibition includes all forms of public or private disclosure, whether written, oral, online, digital, or electronic.

The buyer expressly agrees never to post or cause to be posted any online reviews, ratings, comments, testimonials, critiques, or statements—whether positive, neutral, or negative—about Cedar Grove on any platform, including but not limited to Google, Yelp, Facebook, Instagram, TikTok, Reddit, TrustPilot, BBB, Shopify, or any industry forums. The buyer may not share information about Cedar Grove with journalists, bloggers, influencers, competitors, other retailers, trade groups, or any third party, except when legally required to do so.

Any violation of these confidentiality or non-disparagement obligations constitutes irreparable harm. Cedar Grove is entitled to immediate injunctive relief, without posting bond, and may seek actual damages or liquidated damages of $25,000 per violation, at its election, in addition to attorneys’ fees and costs. These obligations survive indefinitely.

Wholesale buyers are solely responsible for compliance with sales and use tax requirements in their jurisdiction. Products shipped from regulated regions may require phytosanitary permits or inspections. The buyer bears all responsibility for determining whether such permits are required and for obtaining them. Cedar Grove may coordinate USDA or CFIA inspections upon written request, but all risks and costs remain with the buyer.

The buyer is responsible for proper storage, handling, and display of wholesale inventory, including protection from heat, frost, wind, and sunlight. Certain products, such as wreaths, garlands, and Western-grown Douglas Fir, require particular care.

For ocean or international shipments, all sales become final once goods are loaded into a sealed container. The buyer is responsible for customs clearance, fumigation, inspection delays, and all associated costs. Cedar Grove is not responsible for delays or losses associated with international or island shipments.

Any dispute arising from wholesale transactions shall be brought exclusively in the County Court of the Ninth Judicial Circuit in and for Osceola County, Florida, or the United States District Court for the District of New Jersey. Cedar Grove may designate a more convenient forum. The buyer waives any objection to venue.

All wholesale terms—including confidentiality, non-disclosure, non-disparagement, indemnification, risk allocation, and venue—shall survive indefinitely and remain enforceable regardless of whether the commercial relationship continues.
